Welcome to Skuup. These Terms & Conditions (“Terms”) govern your access to and use of the Skuup website, platform, applications, and related services (collectively, the “Service”)

By accessing, registering for, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any additional guidelines or policies referenced herein. If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Skuup (“Company,” “we,” “us,” or “our”). If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

We may update or modify these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

Eligibility

To access or use Skuup, you must meet the following eligibility requirements:

• Be at least 18 years old (or the age of legal majority in your jurisdiction).
• Have the legal capacity to enter into binding agreements under applicable law.
• Provide accurate, current, and complete registration information and keep such information updated.

By using the Service, you represent and warrant that you meet these requirements. If you are accessing or using the Service on behalf of a business or other legal entity, you further represent and warrant that you have the authority to bind that entity to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or suspected misuse of your account.

Skuup reserves the right, at its sole discretion, to refuse service, suspend, restrict, or terminate accounts that violate these eligibility requirements or any other provision of these Terms.

We may request additional information at any time to verify your identity or eligibility to use the Service.

Account registration

To access certain features of the Service, you must create an account. By registering for an account, you agree to:

1. Provide accurate, current, and complete information during the registration process and keep your information updated at all times.
2. Maintain the confidentiality of your login credentials, including your password, and restrict access to your account.
3. Accept full responsibility for all activities that occur under your account, whether authorized by you or not.

You are responsible for safeguarding your account credentials and for any actions taken using your account. If you believe your account has been compromised, accessed without authorization, or otherwise misused, you must notify us immediately.

We reserve the right to verify the information you provide, including through identity verification procedures where necessary. Failure to provide accurate information or cooperate with verification requests may result in suspension or termination of your account.

Skuup is not liable for any loss or damage arising from your failure to protect your login credentials or comply with these obligations.

We also reserve the right, at our sole discretion, to suspend, restrict, or terminate accounts that violate these Terms, provide false information, engage in fraudulent activity, or otherwise misuse the Service.

Platform role

Skuup provides an online marketplace that connects buyers and sellers. Our role is limited to facilitating communication, listing products, and supporting transaction processes between users. Skuup does not:

• Own, manufacture, store, or directly sell listed products
• Control, set, or negotiate pricing decisions between users
• Guarantee the quality, safety, legality, or authenticity of listed products

All agreements, transactions, and communications are made directly between buyers and sellers. Sellers are solely responsible for the accuracy of product listings, pricing, fulfillment, and compliance with applicable laws. Buyers are responsible for reviewing listings carefully before completing a purchase.

While we may provide tools, payment processing integrations, verification features, or dispute support mechanisms, Skuup does not become a party to transactions between users unless explicitly stated otherwise.

We reserve the right, but not the obligation, to monitor listings, remove content, suspend accounts, or take appropriate action to maintain platform integrity, prevent fraud, and enforce these Terms.

By using the Service, you acknowledge and agree that Skuup acts solely as an intermediary platform facilitating transactions between independent users.

Listings and offers

Sellers are solely responsible for the content and accuracy of the listings they publish on the platform. By creating a listing, sellers represent and warrant that:

1. Product descriptions are accurate, complete, and not misleading, including information about condition, specifications, and availability.
2. Pricing is fair, transparent, and lawful, and includes all mandatory fees or charges where required by law.
3. Listed products comply with applicable laws and regulations, including consumer protection, intellectual property, and product safety requirements.
4. They have the legal right to sell the listed products and that such products do not infringe upon the rights of any third party

Sellers must ensure that listings do not contain false statements, prohibited items, counterfeit goods, or content that violates applicable laws or these Terms.

Buyers are responsible for carefully reviewing product descriptions, pricing details, seller information, and any applicable terms before submitting an offer or completing a transaction. By placing an order or accepting an offer, buyers acknowledge that they have reviewed the listing and agree to the stated terms.

Skuup may provide tools that allow buyers and sellers to negotiate offers; however, all final agreements are made directly between users. Skuup does not guarantee the availability, quality, legality, or safety of any listed product.

We reserve the right, at our sole discretion, to review, modify, suspend, or remove listings that violate these Terms, applicable laws, or platform policies. We may also suspend or terminate accounts involved in repeated or serious violations.

Prohibited activities

When using the Service, users agree not to engage in any activities that violate applicable laws, infringe on the rights of others, or undermine the integrity and security of the platform. Users may not:

• Engage in fraudulent, deceptive, or misleading practices, including misrepresentation of identity, products, or payment information.
• Post or transmit false, inaccurate, or misleading information, including manipulated listings or fake reviews.
• List, sell, or promote items that are illegal, counterfeit, stolen, unsafe, or otherwise prohibited by applicable laws or platform policies.
• Violate or infringe upon intellectual property rights, including copyrights, trademarks, patents, or trade secrets.
• Attempt to interfere with, disrupt, or compromise the security, functionality, or performance of the platform, including through hacking, scraping, reverse engineering, introducing malware, or unauthorized access attempts.
• Circumvent fees, payment processes, or platform safeguards designed to protect users.
• Use the Service for unlawful purposes, including money laundering, financial fraud, or other criminal activities.
• Harass, threaten, abuse, or otherwise harm other users.

Users must not attempt to bypass account suspensions, create multiple accounts for deceptive purposes, or manipulate platform features to gain unfair advantage.

We reserve the right, at our sole discretion, to investigate suspected violations and take appropriate action, including removing content, restricting access, suspending accounts, terminating services, or cooperating with law enforcement authorities where required.

Violation of these Terms may result in immediate account suspension or termination without prior notice.

Intellectual property

All content available on Skuup, including but not limited to logos, trademarks, branding elements, design, layout, graphics, text, images, software, source code, and other materials (collectively, the “Content”), is the exclusive property of Skuup or its licensors and is protected by applicable intellectual property laws.

Nothing in these Terms grants you ownership rights or licenses to use any of the Content, except for a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for its intended purposes in accordance with these Terms.

You may not:

1. Copy, reproduce, modify, distribute, display, publish, sell, license, or otherwise exploit any Content without prior written consent from Skuup.
2. Reverse engineer, decompile, or attempt to extract source code from the platform.
3. Use Skuup’s trademarks, branding, or trade dress without explicit written authorization

Users retain ownership of the content they submit or upload to the platform (such as listings or descriptions). However, by posting content, you grant Skuup a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content solely for the purpose of operating, promoting, and improving the Service.

We reserve the right to remove content that infringes intellectual property rights or violates applicable laws.

If you believe that your intellectual property rights have been violated, please contact us with sufficient details to investigate the claim.

User content

By posting, uploading, submitting, or otherwise making available any content on the Service (including but not limited to listings, images, product descriptions, reviews, messages, or other materials) (“User Content”), you grant Skuup a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, and promote such User Content solely for the purposes of operating, improving, marketing, and providing the Service.

You remain the owner of your User Content, subject to the license granted above. However, you acknowledge that once content is shared publicly on the platform, it may be viewed by other users and, in some cases, may not be fully retractable.

Skuup reserves the right, but not the obligation, to review, monitor, edit, restrict, or remove User Content that violates these Terms, applicable laws, or platform policies. We may also suspend or terminate accounts associated with repeated or serious violations.

Skuup is not responsible for User Content posted by users and does not endorse any opinions, recommendations, or representations expressed therein.

Disclaimer of warranties

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Skuup expressly disclaims all warranties, including but not limited to:

• Continuous, uninterrupted, secure, or error-free access to the Service
• Accuracy, completeness, or reliability of user-provided content or listings
• Successful completion of transactions between users
• Quality, safety, legality, authenticity, or fitness of listed products

Skuup does not warrant that the Service will meet your expectations or specific requirements, or that defects will be corrected promptly or at all.

Any reliance on information or content available through the Service is at your own risk. Users acknowledge that Skuup acts solely as a platform facilitating transactions between independent parties and does not assume responsibility for the actions, omissions, or conduct of buyers or sellers.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you to the extent prohibited by law.

Limitation of liability

To the maximum extent permitted by applicable law, Skuup, its affiliates, directors, officers, employees, partners, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your access to or use of the Service. This includes, without limitation:

1. Loss of profits, revenue, business opportunities, or anticipated savings
2. Loss of data, goodwill, or reputation
3. Business interruption or service downtime
4. Disputes, claims, or damages arising between buyers and sellers
5. Errors, inaccuracies, or omissions in listings or user-provided content
6. Unauthorized access to or alteration of your data

You acknowledge and agree that Skuup acts solely as an intermediary platform and is not responsible for the conduct, products, or representations of users.

Nothing in these Terms shall limit or exclude liability where such limitation or exclusion is prohibited by applicable law.

Termination

Skuup reserves the right, at its sole discretion, to suspend, restrict, or terminate your account and access to the Service at any time, with or without prior notice, if you violate these Terms, applicable laws, or engage in conduct that we determine to be harmful to the platform, other users, or our business interests.

You may terminate your account at any time by contacting customer support or using available account settings. Upon termination, your right to access and use the Service will immediately cease.

Termination does not relieve you of any obligations incurred prior to termination, including payment obligations, dispute resolution responsibilities, or liabilities arising from prior conduct. Certain provisions of these Terms, including but not limited to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Indemnification, shall survive termination.

Some icons used on this website are created by Paweł Kuna and are licensed under the Creative Commons Attribution 4.0 International License (CC BY 4.0).

Use of these icons is permitted in accordance with the terms of the CC BY 4.0 license, which requires proper attribution to the author, inclusion of a reference to the license, and indication of any modifications made to the original materials.

Changes to terms

We reserve the right to update, modify, or replace these Terms at any time at our sole discretion. Updates may reflect changes in our services, legal requirements, or operational practices.

When changes are made, we will revise the “Effective Date” and post the updated Terms on the platform. Where required by law, we may provide additional notice, such as via email or a prominent in-platform notification.

Changes will become effective upon posting unless otherwise stated. Your continued access to or use of the Service after the effective date of the revised Terms constitutes your acceptance of those changes.

If you do not agree with the updated Terms, you must discontinue use of the Service and close your account.
